Terms of Service
In short: Duly is for businesses. It costs £40 a month after an optional 7-day free trial, renews monthly and can be cancelled at any time from Settings. Your data is yours, and you can export it. The full terms are below.
1. About these terms
These terms are an agreement between you, the business that creates an account, and Duly (“Duly”, “we”, “us”). They apply whenever you create an account or use Duly.
Duly is a service for businesses. By signing up you confirm that you are acting for a business, such as a motorcycle workshop, garage or restaurant, and not as a consumer. If you do not agree to these terms, please don't use Duly.
2. What Duly is
Duly is an online app for keeping track of parts and stock, customers and their vehicles, quotes, receipts, bills and reminders, with a free public check of a vehicle's MOT, road tax and insurance.
We keep improving Duly and may add, change or remove features. If we remove something important that you rely on, we'll tell you before we do.
We aim to keep Duly available all the time, but we can't promise it will never be interrupted. Maintenance, faults and things outside our control, such as hosting, internet or third-party services, can cause downtime.
3. Your account
- Give us accurate details and keep them up to date.
- Keep your password safe. You are responsible for what happens under your account, including by people you let use it.
- Tell us straight away if you think someone has used your account without permission.
- Each account belongs to one business. Restaurant and workshop accounts are kept separately, each with its own data.
4. Free trial
A business that has never subscribed can try Duly free for 7 days. To start the trial you add a valid payment card. Nothing is charged during the trial.
Unless you cancel before it ends, the trial turns into a paid subscription automatically: your card is charged £40 when the 7 days are up, and then every month as set out below. You can cancel at any time during the trial from Settings, under Manage billing, and you won't be charged.
There is one free trial per business. We may refuse or end a trial if we reasonably believe the business has had one before, for example under another account, or that it is being misused.
5. Price, payment and renewal
- The subscription costs £40 a month, in pounds sterling. The price, including any VAT that applies, is shown at checkout before you pay.
- Payments are handled by Stripe. We never see or store your full card number.
- You are billed monthly in advance. The subscription renews automatically on the same date each month until you cancel.
- If a payment fails, Stripe will try again. Access may be paused until the payment goes through; your data is kept meanwhile.
- If we change the price, we'll tell you by email at least 30 days before it applies. The new price starts from your next billing date after that notice, and you can cancel before then.
- Invoices and receipts are available in the billing portal, under Settings and Manage billing.
6. Cancelling
You can cancel at any time from Settings, under Manage billing. Cancelling stops the next payment: you keep access until the end of the period you have already paid for.
We don't refund part months, except where the law requires it. If you cancel during the free trial, you are not charged at all.
7. Your data
You own the information you put into Duly: your parts and prices, customers, vehicles, quotes and bills. You allow us to store and process it only to run Duly for you, keep backups and help you when you ask.
You can export your records as CSV or PDF from Reports. If your subscription ends, we keep your data for 90 days so you can pick up where you left off; after that we may delete it. You can ask us to delete it sooner. We never sell your data.
8. Your customers' personal data
When you add your customers' details, such as names, phone numbers, email addresses and vehicle registrations, you are the controller of that personal data under UK data protection law, and we process it on your behalf as your processor. You confirm you have a lawful reason to hold it and to contact your customers, for example with reminders about bills or MOTs. Reminders and quotes go out from your own WhatsApp or email, and you are responsible for what you send.
As your processor, we:
- process that data only to provide Duly, following your instructions given through the app;
- keep it confidential and secure, and make sure anyone with access is bound to confidentiality;
- use only the providers listed in our Privacy Policy, under written terms that protect the data, and tell you before adding new ones;
- help you answer requests from your customers about their data;
- tell you without undue delay if we become aware of a breach affecting it;
- delete or return it when you close your account, unless the law requires us to keep it.
This section is our data processing agreement with you.
9. Vehicle checks
MOT and road tax details come from DVLA, and insurance details from the Motor Insurance Database through our data provider. They are for information only: they can be delayed or incomplete, and they are not a guarantee that a vehicle is roadworthy, taxed or insured. Before relying on them, check the official sources on GOV.UK and askMID.
Use the check only for lawful reasons, such as a vehicle you own, look after or are about to work on.
10. Fair use
When using Duly, please don't:
- break the law, or help anyone else to;
- send spam, or messages your customers haven't agreed to receive;
- upload viruses or anything harmful;
- try to get around our security, or reach other businesses' accounts or data;
- overload, scrape or copy the service, or reverse engineer it except where the law allows;
- resell Duly or share access outside your business without our agreement.
11. Other services we use
Duly relies on other providers, including Stripe for payments, Supabase for our database and sign-in, DVLA and our insurance data provider for vehicle checks, and WhatsApp and email apps for the messages you send. Their own terms apply to your use of their services. We choose them carefully but are not responsible for how they run their services.
12. Our software and brand
Duly, its software, design and brand belong to us or the people we license them from. While you subscribe, you have a non-exclusive, non-transferable right to use Duly for your business. If you send us ideas or feedback, we may use them freely.
13. Our responsibility to you
We provide Duly with reasonable skill and care.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit.
Otherwise:
- we are not liable for loss of profits, revenue, business, goodwill or savings, or for indirect or consequential loss;
- we are not liable for losing data you could have kept by exporting your records;
- our total liability to you in any 12 months is limited to the amount you paid us in those 12 months.
Duly helps you keep records, but it is not accounting, tax or legal advice. Check the figures before you rely on them, for example for a tax return.
14. Suspending or closing accounts
We may suspend or close your account if you seriously or repeatedly break these terms, don't pay, or use Duly in a way that could harm us, other users or anyone else. Where it is reasonable, we'll warn you first and give you the chance to put things right and export your data.
You can close your account at any time by cancelling your subscription and asking us to delete your data.
15. Changes to these terms
We may update these terms, for example when the law changes or we add features. For important changes we'll give you at least 30 days' notice by email or in the app. If you keep using Duly after they apply, the new terms apply to you; if you don't agree, you can cancel before then.
16. Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute. If something goes wrong, please contact us first: most things can be sorted out quickly.
17. Contact
